Please read these Terms & Conditions ("Terms") carefully before booking or engaging services with KL Solutions Consulting ("Company," "we," "us," or "our"). By booking a session, signing a proposal, or making a payment, you ("Client") agree to be bound by these Terms.

1.Services

a.Scope of Services. KL Solutions Consulting provides independent consulting services in the areas of low-code systems design, workflow automation, operational strategy, and related advisory services. Specific deliverables, timelines, and fees are outlined in a separate Statement of Work ("SOW"), proposal, or booking confirmation for each engagement.

b.Independent Contractor Status. KL Solutions Consulting operates as an independent contractor. Nothing in these Terms creates an employer-employee, partnership, joint venture, or agency relationship between the Company and the Client.

c. Out-of-Scope Work. Any work not explicitly described in the agreed SOW or booking confirmation is considered out of scope. Out-of-scope requests will be quoted separately and require written approval before work begins. Verbal agreements do not constitute scope changes.

2.Booking & Scheduling

a.Session Types. Services available for booking include, but are not limited to: Discovery & Strategy Calls, Paid Consulting Sessions, Project Kickoffs, and Retainer Onboarding Sessions. Each session type may have specific terms communicated at time of booking.

**b. Confirmation.**All bookings are confirmed upon receipt of full payment (for fixed-fee sessions) or a deposit (where applicable). A booking confirmation will be sent via email. The Company reserves the right to decline or reschedule bookings at its discretion.

**c. Rescheduling.**Clients may reschedule a session up to 24 hours in advance without penalty. Rescheduling requests made less than 24 hours before a session start time may be treated as a cancellation at the Company's discretion.

3.Fees & Payment

a.Payment Terms. All fees are quoted in U.S. dollars. Payment is due at the time of booking unless otherwise specified in a written proposal. For project-based engagements, payment terms (e.g., deposit + balance schedule) will be outlined in the SOW.

b. Late Payment. Invoices not paid within 7 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. The Company reserves the right to pause or suspend services for overdue accounts without liability.

c. Expenses. Reasonable, pre-approved expenses (e.g., third-party software, tools, or licenses required for project completion) will be billed to the Client at cost. No expenses will be incurred without prior written authorization.

4.Cancellation & Refund Policy

a. Discovery & Strategy Calls. Cancellations made 48 or more hours before a scheduled call will receive a 50% refund of any amount paid. Cancellations made less than 48 hours before the call are non-refundable. No-shows are non-refundable.

b.Paid Consulting Sessions. Refund eligibility for paid consulting sessions depends on whether work has been initiated. If no work has begun, a refund may be issued at the Company's discretion, less any administrative fees. Once work has commenced, fees are considered earned on a pro-rated basis relative to the work completed. No refunds will be issued for completed work.

c. Project-Based & Retainer Engagements. For project-based or retainer engagements, cancellation terms are outlined in the applicable SOW. In the absence of a specific SOW provision: (a) deposits are non-refundable; (b) work completed to date will be invoiced at the applicable rate; and (c) any unused prepaid balance for work not yet started may be refunded at the Company's discretion.

d. Digital Products & Templates All sales of digital products, downloadable templates, toolkits, or files are final. No refunds will be issued once a digital product has been delivered or accessed. By completing your purchase, you acknowledge that you are purchasing a digital item and waive any right to a refund.

5.Intellectual Property

a. Company IP. All proprietary frameworks, methodologies, templates, and pre-existing materials developed by KL Solutions Consulting remain the exclusive property of the Company. Nothing in these Terms transfers ownership of Company IP to the Client.

c. Client Deliverables. Upon receipt of full payment, the Client receives a non-exclusive, non-transferable license to use the deliverables created specifically for their engagement. Deliverables may not be resold, redistributed, or sublicensed without written consent from the Company.

d. Portfolio Use. The Company reserves the right to reference the engagement and describe the nature of services provided in its portfolio, case studies, or marketing materials, without disclosing confidential client data.

7. Confidentiality Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the engagement. This obligation survives termination of the engagement for a period of two (2) years. A separate Non-Disclosure Agreement ("NDA") may be executed for engagements involving particularly sensitive information.

a.Limitation of Liability. To the maximum extent permitted by law, KL Solutions Consulting's total liability to the Client for any claim arising out of or related to these Terms or any engagement shall not exceed the total fees paid by the Client in the three (3) months preceding the claim. The Company shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption.

The Company provides consulting services based on professional judgment and best practices. Outcomes are not guaranteed. The Client assumes all responsibility for decisions made based on consulting recommendations.

b. Indemnification. Each party agrees to indemnify, defend, and hold harmless the other party and its officers, employees, agents, and representatives from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the indemnifying party's breach of these Terms; (b) the indemnifying party's negligence or willful misconduct; or (c) the indemnifying party's violation of any applicable law or third-party rights.

Without limiting the foregoing, Client agrees to indemnify KL Solutions Consulting against any claims arising from Client's use, misuse, or modification of deliverables after acceptance and final payment. KL Solutions Consulting agrees to indemnify Client against any claims arising directly from our own gross negligence or intentional wrongdoing in the performance of services.

Each party shall be responsible for its own legal fees and costs in defending claims made against it by third parties, except where a court of competent jurisdiction determines that the other party's indemnification obligation applies.

8.Termination. Either party may terminate an engagement with 14 days' written notice. In the event of termination, the Client will be invoiced for all work completed through the termination date at the applicable rate. If the Client terminates without cause and work is substantially complete, the full project fee may be due.

The Company may terminate immediately and without notice if the Client engages in abusive conduct, fails to pay invoices, or acts in a way that materially breaches these Terms.

9. Governing Law & Disputes. These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Louisiana.

10.Modifications KL Solutions Consulting reserves the right to update these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our services after such changes constitutes acceptance of the revised Terms.
